TERMS OF SERVICE AND CUSTOMER AGREEMENT

Oasis Nutrition LLC, a New Mexico limited liability company, doing business as OasisNutrition.shop (“Company,” “we,” “us,” or “our”) provides this website and products (collectively, the “Services”) subject to your compliance with the mandatory terms and conditions set forth below.

PLEASE READ THIS DOCUMENT CAREFULLY. IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, INCLUDING A MANDATORY ARBITRATION PROVISION, A WAIVER OF CLASS ACTION RIGHTS, AND COMPREHENSIVE HEALTH DISCLAIMERS.

1. ACCEPTANCE OF TERMS

By accessing our website, purchasing our products (including but not limited to "Loaded Tea" kits, beverage mixes, and dietary supplements), or using our Services, you agree to be bound by these Terms of Service.

Binding Agreement: You acknowledge that these Terms constitute a binding legal agreement between you and Oasis Nutrition LLC. If you do not agree to these terms, you must immediately cease use of the Services and refrain from purchasing products. We reserve the right to update these terms at any time. Your continued use constitutes acceptance of changes.

Age of Majority: By using this site, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority and you have given us your consent to allow any of your minor dependents to use this site.

2. HEALTH & REGULATORY DISCLAIMER

2.1 No Medical Advice
The products sold on this site are legally classified as food products or dietary supplements. They are not intended to be used as medicine.

  • No FDA Evaluation: The statements made regarding these products have not been evaluated by the Food and Drug Administration (FDA).

2.2 Caffeine and Stimulant Warning
Our products may contain significant amounts of caffeine and other herbal stimulants (including but not limited to guarana extract).

  • Sensitivity: Individuals sensitive to caffeine should exercise extreme caution.
  • Adverse Effects: We recommend limiting consumption to avoid adverse effects such as nervousness, sleeplessness, and occasional rapid heartbeat.
  • Vulnerable Populations: These products are NOT recommended for:
    • Children or adolescents under the age of 18.
    • Pregnant or nursing women.
    • Individuals with high blood pressure, heart conditions, or cardiovascular disease.

2.3 Assumption of Risk and Misuse
You acknowledge that the misuse of dietary supplements and caffeinated powders can be dangerous.

  • No "Dry Scooping": You agree to consume our products only as directed (i.e., fully dissolved in the appropriate amount of water). You expressly assume all risks associated with consuming the powder without dilution ("dry scooping"), which may include choking, respiratory distress, or toxicity.
  • Duty to Consult: You agree to consult with a qualified healthcare physician before using our products, especially if you are taking prescription medication or have pre-existing medical conditions.
  • Preparation Risks: You assume full responsibility for the preparation of the products. We are not liable for any adverse events resulting from mixing our products with alcohol, prescription drugs, or other substances not recommended in our instructions.

2.4 Allergen Warning & Cross-Contamination
While we take specific measures to ensure safety, our products are processed in a facility that may also process peanuts, tree nuts, wheat, soy, milk, and eggs. We cannot guarantee that our products are completely free of allergens due to the possibility of cross-contamination. Consumers with severe food allergies should consult their healthcare provider before consuming our products.

3. ORDERS, SHIPPING & RETURNS

3.1 All Sales Final
Due to the consumable nature of our products (food and beverages), ALL SALES ARE FINAL.

  • We do not accept returns or offer refunds for products based on flavor preference, dissatisfaction with results, or change of mind.
  • Exceptions: We may, at our sole discretion, offer a replacement or refund only for items that are verified as damaged in transit or if the incorrect item was shipped. You must notify us within 48 hours of delivery to be eligible and provide photographic evidence.

3.2 Shipping and Risk of Loss
All items purchased from OasisNutrition.shop are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier. We are not responsible for lost, stolen, or damaged packages once they have been handed to the shipping carrier (USPS, UPS, etc.).

3.3 Right to Refuse Service & Cancel Orders
We reserve the right to refuse service to anyone, cancel orders, or terminate accounts at our sole discretion. Specifically, we reserve the right to cancel any order if we suspect the customer intends to use the product for unlawful purposes or purposes prohibited by our payment processors (including making medical claims about the products).

3.4 Prohibition on Resale
You are purchasing products for personal or household use only. We reserve the right to limit the quantity of items purchased per person, per household, or per order. The resale of Oasis Nutrition LLC products on third-party marketplaces (such as Amazon, eBay, or Etsy) without our express written consent is strictly prohibited.

4. INTELLECTUAL PROPERTY & TRADEMARKS

4.1 Ownership
All content on this site, including text, graphics, logos, and images, is the property of Oasis Nutrition LLC or its content suppliers and is protected by international copyright laws.

4.2 Third-Party Trademarks
Any third-party trademarks, service marks, or product names (e.g., names of popular candies, sodas, or other beverages) mentioned on our site are the property of their respective owners. Their use is solely for descriptive purposes to identify the flavor profile of our products. Oasis Nutrition LLC is not affiliated with, endorsed by, or sponsored by these trademark owners.

4.3 User-Generated Content
If you post reviews, comments, or recipes on our site:

  • You grant us a non-exclusive, royalty-free, perpetual, irrevocable right to use, reproduce, modify, and display such content for marketing purposes.
  • You represent that you own the rights to the content and that it does not violate this policy.

5. MOBILE MESSAGE SERVICE TERMS

By consenting to Oasis Nutrition LLC’s SMS/text messaging service, you agree to receive recurring automated marketing and informational text (e.g., cart reminders) messages from us at the mobile number provided. Consent is not a condition of purchase. Msg & data rates may apply. You can unsubscribe at any time by replying STOP.

6. DISPUTE RESOLUTION (MANDATORY ARBITRATION)

6.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or the purchase of products from OasisNutrition.shop shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. You specifically waive your right to a trial by jury or judge.

6.2 Class Action Waiver
YOU AND OASIS NUTRITION LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

6.3 Venue and Jurisdiction
The arbitration shall take place in Alamogordo, New Mexico, or another location mutually agreed upon in Otero County, New Mexico. These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law principles.

7. LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Disclaimer of Warranties ("AS IS")
TO THE FULLEST EXTENT PERMITTED BY LAW, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 Limitation of Damages
IN NO EVENT SHALL OASIS NUTRITION LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, MANAGERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, MEDICAL EXPENSES, OR BODILY INJURY ARISING FROM THE USE OR MISUSE OF OUR PRODUCTS.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

7.3 Indemnification
You agree to indemnify, defend, and hold harmless Oasis Nutrition LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of:

  • Your use or misuse of our products (including "dry scooping" or mixing with alcohol/drugs).
  • Your violation of these Terms.
  • Any injury or damage caused to a third party to whom you provided our products.

7.4 Force Majeure
Oasis Nutrition LLC shall not be held responsible for delays or non-performance caused by activities or factors beyond its reasonable control, including without limitation, war, weather, strikes, floods, lockouts, fire, acts of God, terrorism, or delivery delays by third-party carriers.

8. STATE-SPECIFIC NOTICES

8.1 California Residents (Proposition 65 Warning)
To ensure compliance with California's Safe Drinking Water and Toxic Enforcement Act of 1986 (Proposition 65), we provide the following warning for customers in California:

WARNING: Consuming this product can expose you to chemicals including Lead, which is known to the State of California to cause cancer and birth defects or other reproductive harm. For more information go to www.P65Warnings.ca.gov/food.

9. SEVERABILITY

In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.
